| Use of Service |

VoiceNetPlus long distance services may be used for
lawful purposes. The Company, at its discretion, may revoke a Customer's
Service when used in unlawful usage. The Customer agrees to indemnify and
hold the Company harmless from any claims resulting from the Customer's
use of this service.

| Authorizing and Acceptance of the Service
Offering |

It is understood by all parties, when clicking the
"ACCEPT” button, without limitation, you, the Customer have agreed to be
bound and have agreed to accept the fees for service described herein, on
all requests and purchases made with VoiceNetPlus, as defined under the
Terms and Conditions as stated herein. If you are not in agreement
with the terms and conditions set forth; please discontinue the use of
service or acceptance of service, so as your account will not be
activated.

The Customer must be at least 18 years of age or older and have the
authorization to make changes to your local telephone account. By
accepting the service application, the Company and its Agents are being
authorized to provide long distance service and bill its services under your
electronic authorization signature and record submission. Your order
constitutes a Letter of Agency and authorization to provide and accept the
services offered herein. It is understood, that the Company has based the
application and acceptance on your electronic signature as sanctioned
under law the Electronic Signatures in Global and National Transactions
Act ("E-Sign"). The Customer acknowledges its agreement with the Company
and as defined under the Terms and Conditions for service by submitting
its Customer request for service under the on-line subscription form.

The Customer hereby agrees and acknowledges, they have
read and fully understand the Terms and Conditions, warranties and all
disclaimers. The Customer agrees to be responsible for accepting the
service and charges related to the use of the Customer's long distance
plan, including but not limited to the use or misuse by an unauthorized
third party.

VoiceNetPlus may change its Terms and Conditions, at
any time by posting such notice to the web site at www.VoiceNetPlus.com or
by written notice. The Customer should periodically review the web site
for any such updates or any changes to the Terms and Conditions of
service.

| Promotions and Service Offerings |

Service and Promotions are limited to one per
household. Service is available to residents within the Continental U.S. with active local telephone service in pre-approved areas only. Continental U.S. does not include Puerto Rico, Guam, USVI, Alaska or Hawaii. The advertised promotions represented on the registration page
can not be combined with other offers. If Customer does not wish to
continue to use our long distance service, then the Customer may cancel
the services as defined in cancellation policy or by simply calling
Customer Service to request cancellation at the toll free number
1-877-860-3006.

Each calling plan will vary in price depending on the
monthly plan selected. The fees for the monthly calling plans are set
forth herein, the Terms and Conditions, and on the web site. The programs
are billed to the Customer telephone bill and/or credit card given by the
customer. There are no activation fees or deposits. A monthly billing fee
of up to $3.95 will apply on your local telephone bill. The Customer is
responsible for all taxes for the services and/or governmental fees and
surcharges and any increase in the taxes. All calls made from a payphone
will incur a surcharge and will be passed on to the
customer.

More Minutes Plus is for a low monthly charge of only
$14.95, it includes 383 minutes of state-to-state (interstate) domestic long distance calling every
month. More Minutes is for a low monthly charge of only $12.95, it
includes 332 minutes of state-to-state (interstate) domestic long distance calling every month.
Additional minutes needed beyond the allotted plan will be credited against the following month's minutes. The monthly recurring charges for the plan you select will appear on your local telephone bill in the USBI portion of your bill and will be billed on behalf of VoiceNet Telephone, LLC. You will continue to receive the monthly recurring charges on your local telephone bill until you cancel the plan.

You, the Customer, agrees to provide your local
telephone number and/or billing information that may be automatically
applied to your local telephone bill and that you are requesting for such
billing. You hereby authorize VoiceNetPlus or its Agents to charge to the
telephone billing number as provided for services of VoiceNetPlus and all
such fees on an automatic monthly basis. You acknowledge and agree that
VoiceNetPlus will not obtain any additional authorization from you for
this recurring payment. If you have any billing-related questions or want
to stop service and/or charges from being billed to your local telephone
bill account, contact our customer support number at
1-877-860-3006.

VoiceNetPlus reserves the right to change its rate
program, fees or billing at any time. VoiceNetPlus will issue advance
notice of any such changes. The Customer may stop using the VoiceNetPlus
Services at any time if such changes are not acceptable. Customer may
cancel customer's account at any time, by calling customer service at
1-877-860-3006 or by sending a cancellation by email to cancel1@VoiceNetPlus.com. The
Customer acknowledges that long distance will be deactivated upon
cancellation as accepted and processed by VoiceNetPlus.

VoiceNetPlus as required by law may disclose
information regarding the Customer’s use of the service to lawful
governmental requests. VoiceNetPlus always reserves the right to accept or
decline a Customer’s order or account at its discretion. VoiceNetPlus
reserves the right to discontinue service with or without cause, for any
reason. Customers that are not accepted for service or not activated will
not be eligible to receive the bonus of 300 extra minutes per month for the first three
month’s promotional offer.

Bonus of 300 Extra Minutes per Month for the First Three
Months - VoiceNetPlus Customer’s are given a bonus of 300 extra minutes per month
for the first three months of service of state-to-state (interstate) domestic long distance calling within the Continental U.S.A. Upon signing up and the approval for the VoiceNetPlus
plan, you'll receive all the information you need to start making your
state-to-state (interstate) domestic long distance calls. Continental U.S.A. does not include Puerto
Rico, Guam, USVI, Alaska or Hawaii.

Certificate Details - The “Certificate” to receive a Vacation Getaway is provided by VoiceNetPlus for signing up to receive a state-to-state (interstate) domestic long distance calling plan. Click here to view the “Certificate” Redemption Instructions that must be followed to receive your certificate from VoiceNetPlus.

Vacation Getaway Details - Once you receive the Vacation Getaway “Certificate” from VoiceNetPlus, the Vacation Getaway itself will be provided by Grand Incentives, Inc. Customer's redemption or use of the Vacation Getaway is subject to separate terms and conditions provided by Grand Incentives, Inc. If you do not agree with those separate terms and conditions, you should not redeem or use the Vacation Getaway. The following represents a summary of the terms and conditions from Grand Incentives, Inc.
MUST BE 21 OR OLDER to redeem Vacation Getaway. Vacation Getaway includes two nights of hotel accommodations at a destination described for two (2) adults. Selected destination must be at least 100 miles from your home address. Subject to availability and other restrictions. Does not include airfare, ground transportation, taxes, food, or other expenses. Spouses and cohabitants must travel together. $50 refundable deposit required. Must have major credit card at check-in. Vacation Getaway provided through Grand Incentives, Inc. See Vacation Getaway Terms and Conditions for complete details.
By redeeming or using the Vacation Getaway, Customer agrees that VoiceNetPlus and its owner(s), parent, subsidiaries, affiliates, agents, representatives, and employees will have no liability whatsoever for any injuries, losses, claims, damages or any special, exemplary, punitive, indirect, incidental or consequential damages of any kind, whether based in contract, tort, strict liability or otherwise, resulting from any redemption or use of the Vacation Getaway, even if VoiceNetPlus has been advised of the possibility of such damages. If Customer makes any claim relating to the Vacation Getaway, Customer must make such claim against Grand Incentives, Inc. VoiceNetPlus makes no warranty of any kind regarding the Vacation Getaway. |
Exclusions and Limitations. Some jurisdictions do not allow the exclusion of certain warranties, representations and conditions or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
WAIVER AND LIMITATIONS ON
LIABILITY. CUSTOMER WAIVES ANY AND ALL CLAIMS AND CAUSES OF
ACTION THAT THE CUSTOMER HAS NOW OR MAY HAVE IN THE FUTURE AGAINST
VOICENETPLUS/VOICENET, VOICENETPLUS/VOICENET IN ANY WAY PARTICIPATING IN
ANY SERVICE RELATED ISSUE, ACCOUINT BILLING OR ANY METHOD OF PAYMENT,
BREACHES THIS AGREEMENT AND/or CUSTOMER IS DISSATISFIED WITH THE SERVICES.
THE CUSTOMER'S SOLE REMEDY IS TO DISCONTINUE THE SERVICES.
VOICENETPLUS/VOICENET SOLE LIABILITY IN THE EVENT SERVICES ARE NOT
AVAILABLE FOR ANY PERIOD MORE THAN 12 HOURS, SHALL BE LIMITED TO A REFUND
OF THE SERVICES FEES PAID FOR THE AFFECTED TIME PERIOD. IN NO EVENT SHALL
VOICENETPLUS/VOICENET BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT,
INDIRECT, SPECIAL OR CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES.
DISCLAIMER OF WARRANTIES. VOICENETPLUS MAKES NO
WARRANTIES AND EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED,
WITH RESPECT TO THE SERVICES, INCLUDING THE IMPLIED WARRANTIES OF
MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE. |
